Terms of Service

1. Acceptance of Terms
By creating an account or using ChronoForge (the "Service"), you agree to be bound by these Terms of Service ("Terms") on behalf of yourself and any organization you represent. If you do not agree to these Terms, you may not use the Service. These Terms constitute a binding agreement between you and Launchpad Developers, Inc. ("Launchpad," "we," "us," or "our"), a West Virginia corporation.
2. Description of Service
ChronoForge is a cloud-based time-tracking platform that enables organizations to record, manage, and report on employee time across projects. The Service is provided on a subscription basis as described in our pricing plans.
3. Account Registration
To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You must promptly notify us of any unauthorized use of your account at hello@launchpaddevs.com.
You are responsible for the accuracy of all information entered into the Service, including email addresses used for user invitations.
Each organization may have only one active subscription. You must be at least 18 years of age to create an account.
4. Subscription and Payment
The Service is offered on a paid subscription basis. Subscriptions are billed on a monthly or annual cycle depending on the plan you select. Payment is processed by Stripe, Inc. on our behalf. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.
All fees are stated in US dollars and are exclusive of applicable taxes. We reserve the right to change subscription prices with at least 30 days' advance notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with our Acceptable Use Policy. You may not use the Service to:
- Violate any applicable law or regulation
- Transmit any harmful, offensive, or fraudulent content
- Attempt to gain unauthorized access to any part of the Service or its infrastructure
- Reverse engineer, decompile, or disassemble any portion of the Service
- Use the Service to build a competing product
- Exceed the user limits associated with your subscription plan
6. Intellectual Property
The Service, including all software, design, trademarks, and content created by Launchpad, is owned by Launchpad Developers, Inc. and protected by applicable intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited license to use it during an active subscription.
You retain ownership of all data you input into the Service ("Your Data"). You grant Launchpad a limited license to store, process, and transmit Your Data solely to provide the Service to you.
7. Privacy
Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our collection and use of data as described in the Privacy Policy.
8. Termination and Suspension
You may cancel your Subscription at any time through the billing settings in the Service. Cancellation takes effect at the end of the current billing period, and you retain access until that date.
We may suspend or restrict access to your account, with or without prior notice, for any of the following reasons: (a) violation of these Terms or our Acceptable Use Policy; (b) failure to pay fees when due; (c) activity that poses a legal, security, or reputational risk to the Service or other Users, in our sole discretion; (d) a chargeback, fraud investigation, or government or regulatory action involving your account; or (e) extended inactivity combined with a billing failure. Upon termination, your right to use the Service ceases immediately.
We reserve the right to limit, suspend, or delay email delivery or related functionality in cases of repeated delivery failures, misuse, or behavior that may negatively impact system reliability.
Export Responsibility. You are solely responsible for exporting your Organization's data prior to cancellation or the effective date of any termination. See Section 9 for our data retention and deletion policy.
9. Data Retention and Deletion
Following termination or expiration of your Subscription, your Organization's data (including time entries, projects, user records, and reports) will be retained for up to 30 days ("Retention Period"). During this window, you may contact us at hello@launchpaddevs.com to request a data export.
After the Retention Period, all data associated with your Organization may be permanently and irreversibly deleted without further notice. We have no obligation to retain data beyond this period, and we are not liable for loss of data following account termination or expiration.
Accounts terminated for cause (including abuse, fraud, or material violation of these Terms) may have their data deleted immediately, without a Retention Period.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
We do not guarantee delivery of emails or notifications sent through the Service. Email delivery may be affected by third-party providers, recipient mail server configurations, spam filtering, or delays in mailbox provisioning. You are responsible for ensuring that recipient email accounts are properly configured and able to receive external messages.
The Service relies on third-party infrastructure and providers, including but not limited to cloud hosting, payment processing, and email delivery services. We are not responsible for outages, delays, or failures caused by these third parties.
No Uptime Guarantee. Launchpad does not warrant any specific level of availability or uptime for the Service. The Service may be temporarily unavailable due to scheduled maintenance, infrastructure issues, or circumstances outside our reasonable control. No service level agreement (SLA) is implied or provided unless explicitly stated in a separate written agreement signed by an authorized representative of Launchpad.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LAUNCHPAD DEVELOPERS, INC. AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, LOSS OF REVENUE, BUSINESS INTERRUPTION, OR COSTS OF SUBSTITUTE SERVICES, EVEN IF LAUNCHPAD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID IN THE 12 MONTHS PRIOR TO THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100.00).
12. Indemnification
You agree to indemnify, defend, and hold harmless Launchpad Developers, Inc. and its officers, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service in violation of these Terms; (b) your violation of any applicable law or regulation; (c) content or data you submit to the Service; or (d) any dispute between you and a third party in connection with your use of the Service.
13. Force Majeure
Launchpad shall not be liable for any failure or delay in performing its obligations under these Terms to the extent caused by circumstances beyond its reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, civil unrest, government action, pandemics, widespread internet or telecommunications failures, third-party cloud or infrastructure provider outages, or labor disputes. In such events, Launchpad will use commercially reasonable efforts to resume normal operations as soon as practicable.
14. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of West Virginia, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in West Virginia, and you consent to the personal jurisdiction of such courts.
15. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by email or by displaying a notice within the Service at least 30 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
